New Jersey requires LLCs to file an annual report with the New Jersey Secretary of State, along with a $75 fee. This report confirms or updates your LLC's basic information on file — entity name, principal address, registered agent, members or managers.

New Jersey tax note: Annual report $75 due on last day of formation anniversary month. Filed with Division of Revenue and Enterprise Services. NJ has a minimum annual alternative minimum assessment of $150 for LLCs treated as corporations.
Registered Agent Maintenance
Your LLC must maintain a registered agent with a physical New Jersey street address for as long as the entity exists. This is not optional — if the New Jersey Secretary of State has no valid registered agent on file, they can begin administrative dissolution proceedings.
A valid registered agent must:
